PetStore.Direct has paid $60,000 to date — $55k for the contracted V1 sprints and $5k for the Revival Design package. A further ~$60k–$84k of work was delivered outside the contract scope and has not yet been invoiced. This deck is the starting point for agreeing how to handle that work commercially. The licensed V2/V3 platforms are provided at $0 licence fee, contributing significant additional platform value.
Key Contract Clauses
§2.2 — Acceptance Window
3 days after delivery to notify of non-conformity in writing. Silence = deemed accepted. Relevant for Sprint 4 (ShipStation → Shopify redirect).
§3.2 / §3.3 — Payment & Late Fees
Invoices due within 7 days. Undisputed overdue amounts accrue 1.5%/month interest.
§5.1 / §5.4 — Work-for-Hire
PetStore.Direct owns Sprint deliverables upon payment. Repository handover not required until Sprint fees are paid.
§5.5 — Post-Termination Licence
Client may continue on Ask Joey Base at $200/month + consumption after termination.

30 days' written notice. Outstanding fees for work performed become immediately due.
Pre-contract: Managed voice SaaS + a single MCP integration. No platform, no dashboard, no UX/UI contemplated.
Chat IS in the Contract
Section 1.1, Appendix B §2.1(b), and Appendix C all explicitly include chat. Not out of scope.
Twilio: discussed verbally only — never contracted. V2 telephony uses Telnyx. No Twilio build was ever needed or agreed.
Sprint 4 & Maintenance — Items to Formalise
Sprint 4 — ShipStation → Shopify Redirect
Appendix E names ShipStation APIs specifically. The redirect to Shopify was a sound client decision — Shopify holds authoritative order/fulfillment/tracking data. However, a short written acknowledgement (email or Slack) confirming the redirect would make §2.2 acceptance unambiguous.
No written acknowledgement currently exists. Recommended action: confirm Sprint 4 deemed delivered via Shopify approach.
Appendix F — Maintenance Agreement
$2,500/month payable in advance on the 1st. Up to $500/month AI consumption included. Up to 2 code changes/month (max 8 hrs). 12-month initial term, auto-renews monthly. 60 days' termination notice.
Confirm whether maintenance billing has started and whether the platform is currently being supported informally pending formal maintenance start.
